Terms of service
Last updated: [Effective date]
These terms are the agreement between you and us for using Apoji. Please read them. By joining the waitlist, creating an account or using Apoji, you agree to them.
1. Who we are
Apoji is provided by [Company legal name], a company registered in England and Wales (company number [Company number]) with its registered address at [Registered address]. In these terms, "we" and "us" mean [Company legal name], and "you" means the person or agency using Apoji. If you use Apoji for an agency or other organisation, you confirm you have authority to accept these terms for it.
You can contact us at [Contact email]. How we handle personal information is explained in our privacy policy.
2. Early access and the waitlist
Apoji is being opened to agencies in small groups. Joining the waitlist does not guarantee you access, or access by any particular date. We may decide who is invited and when.
Apoji is still being developed. Features, limits and the look of the service may change, and some features may be added, changed or removed during early access.
3. Accounts and security
Accounts are created by invitation. You must give accurate information, keep your login details confidential and tell us promptly if you think your account has been used without your permission. You are responsible for what is done through your account, including by people you invite to your organisation.
4. Acceptable use
You must not:
- use Apoji unlawfully, or to infringe anyone else's rights;
- try to gain unauthorised access to Apoji, to other users' data or to our systems, or interfere with how the service runs;
- copy, resell or reverse engineer the service, except where the law allows it;
- send us material that is unlawful, harmful or that you have no right to share;
- use the service to break the rules of any advertising platform you connect.
5. Your data
The information you put into Apoji, and the information we read from your connected accounts, stays yours. You give us a licence to process it, only as needed to run, secure and improve the service for you and to do what these terms and our privacy policy describe.
You are responsible for having the right to use that information in Apoji, including information about your clients. If you share a tracker or report with a client, you decide who receives the link and what it shows.
6. Advertising platform connections
You may connect an advertising account (Google Ads, Meta Ads, LinkedIn Ads, Microsoft Advertising or ChatGPT Ads) only if you are authorised to do so by the account's owner. You must also follow each platform's own terms, which may change what you are allowed to do.
Apoji can pause or resume campaigns and act on budgets, when you ask it to or when you switch on a rule that does so. You are responsible for those changes, including pauses and budget changes made by rules you switch on, and for checking that your rules and settings are right for each account. You can disconnect an account, or revoke our access from the platform, at any time.
7. Fees
The prices shown on our website are the prices for each plan. Founding agencies that join the waitlist keep their price as stated on the site. We will confirm the billing terms, including how and when you are billed, whether VAT applies and how to cancel, before we start charging you, and we will not charge you until you have agreed to them.
8. Availability and no warranty
We aim to keep Apoji available and accurate, but we cannot promise that it will always be uninterrupted or free of errors. Figures in Apoji come from the advertising platforms and may be delayed, incomplete or revised by them, so please check important figures at the source. Suggestions made by AI features may be wrong and are for you to review. Apoji is provided "as is" during early access, and, to the extent the law allows, we give no warranties beyond those these terms set out.
9. Limit of our liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that the law does not allow us to limit or exclude.
Subject to that, we are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Our total liability to you for all claims arising from your use of Apoji in any 12 month period is limited to the fees you paid us in the 12 months before the claim arose.
10. Suspension and ending
You can stop using Apoji and ask us to close your account at any time. We may suspend or end your access if you break these terms, if we reasonably believe your account is being misused or puts the service or others at risk, or if we stop providing the service. Where we reasonably can, we will tell you first and give you the chance to take a copy of your information.
The parts of these terms that are meant to continue after access ends, such as those on liability and governing law, will continue.
11. Changes to these terms
We may change these terms, for example as Apoji develops. The date at the top shows when they last changed. We will give you reasonable notice of any change that matters, and if you keep using Apoji after it takes effect you accept the new terms. If you do not agree, you can stop using Apoji.
12. Governing law
These terms, and any dispute arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, although if you are a consumer living elsewhere in the UK you may also have the right to bring a claim in your local courts.
